TERMS & CONDITIONS AND COMMUNITY GUIDELINES

 

These Terms & Conditions and Community Guidelines (“Terms”) sets forth the understanding between you and Inner Health Coalition, LLC, a Washington state limited liability company, and its representatives, licensees, successors, assigns, designees, and affiliates (“IHC”, “our”, “we”, or “us”) regarding your use of our website, the Mighty Networks website (any website, including the Mighty Networks, used now or in the future to deliver Services will collectively be referred to as “Site”), the online community, apps, and other products and services provided by us (“Services”). By accessing or using our online community through the Site, you agree to be bound by these Terms and to use the Services in accordance with these Terms.

1. Agreement to Be Bound. These Terms do not supplant the Mighty Networks Privacy Policy or Terms of Use when accessing the Mighty Networks site; however, shall serve to supplement the use of the Services and the relationship between you, IHC, and other community members. By subscribing to the IHC online community and/or using IHC’s products and meditations in the treatment of patients, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree with these terms, do not subscribe to the IHC online community, access the Site, or use IHC’s products and meditations in the treatment of patients.

2. Access to Services. Access to our online community is granted solely at our discretion. We reserve the right to refuse access to our online community to anyone for any reason, without notice or explanation. To access the Services or some of the resources offered, you may be asked to provide certain registration details or other information. It is a condition of your use of the Services that all the information you provide is correct, current, and complete. If IHC believes the information you provide is not correct, current, or complete, we have the right to refuse you access to the Services, and to terminate or suspend your access at any time, without notice.

3. Intellectual Property Rights.

(a) Our Limited License to You. The material and Content accessible from the Services, the Site, and any other World Wide Web site owned, operated, licensed, or controlled by IHC is the proprietary information of IHC or the party that provided the Content to IHC, and IHC or the party that provided the Content to IHC retains all right, title, and interest in the Content. The Content is protected U.S. and/or foreign copyright laws and belongs to IHC or the party that provided the Content. Accordingly, the Content may not be copied, altered, manipulated, distributed, republished, uploaded, posted, or transmitted in any way without the prior written consent of IHC, or unless authorized in writing elsewhere on our Site, except that you may, from time to time, download and/or print one copy of individual pages of Content for your personal, non-commercial use, provided that you keep intact all copyright and other proprietary notices. You are prohibited from using any of the marks or logos appearing throughout the Content and Services without the express written permission of IHC. You acknowledge that, while you may responsibly share the Content during one-on-one interactions with patients and clients, you are not permitted to teach this Content to groups of patients or colleagues. The term “Content” means all content or information (including any text, music, sound, photographs, video, graphics, data, or software), trademarks, trade names, trade styles,

logos and other intellectual property in any medium, provided by IHC to you. Content may also include Sensitive Health Information of certain participants who have agreed to participate in certain research regarding the biological and physiological effects of meditation on the human body. “Sensitive Health Information” means any sensitive details about a participant, including birthdate, medical conditions, and health insurance claims, whether in a paper-based record or an electronic health record system, which explains a patient’s medical history, including ailments, various treatments, and outcomes.

In the event you are authorized by IHC to contact a participant directly or their health care provider, any information you receive, written, oral, or otherwise, shall be Sensitive Health Information and subject to these Terms. Further, in the event the participant has not agreed in writing to release Sensitive Health Information to IHC or one of its affiliates, including, but not limited to Encephalon, Inc., and/or Metamorphosis, LLC, or voluntarily engage in research or discloses their intent to revoke their involvement in research, you will immediately contact IHC to address such issues.

Any Sensitive Health Information which is downloaded and/or printed from our Site shall only be used only pursuant to the direction of IHC and immediately upon receipt of written request from IHC or conclusion of the authorized purpose by IHC, you shall (a) cease using all Sensitive Health Information; (b) return all Sensitive Health Information in tangible form in its possession or under its control, including all documents, materials, copies, diskettes, and other embodiments or extracts of the Sensitive Health Information; and (c) permanently delete or erase from any storage medium or other electronic devices all electronic copies of all or any part of the Sensitive Health Information.

You may not, without our prior written permission, frame, or inline link any of the Content of the Site or Services or incorporate into another website or other service any of our material, Content, or intellectual property.

(b) Your License to Us. By posting or submitting any material (including, without limitation, comments, blog entries, Facebook postings, photos, and videos) to us via the Site, internet groups, social media venues, or to any of our staff via email, text, or otherwise, you are representing that you are the owner of the material, or are making your posting or submission with the express consent of the owner of the material. In addition, when you submit, email, text or deliver or post any material, you are granting us, and anyone authorized by us, a royalty-free, perpetual, irrevocable, non-exclusive, unrestricted, worldwide license to use, copy, modify, transmit, sell, exploit, create derivative works from, distribute, and/or publicly perform or display such material, in whole or in part, in any manner or medium, now known or hereafter developed, for any purpose. The foregoing grant shall include the right to exploit any proprietary rights in such posting or submission, including, but not limited to, rights under copyright, trademark, service mark or patent laws under any relevant jurisdiction. IHC will treat any personal information that you submit through the Site in accordance with the Mighty Networks Privacy Policy.

(c) Confidentiality. You acknowledge that Content and information exchange within the online community may be confidential in nature and may be regarded as confidential information owned by IHC. You shall maintain confidentiality of all such confidential information, and without obtaining the written consent of IHC or the community member making such disclosure, you shall not disclose any relevant confidential information to any third parties, except for the information that: (a) is or will be in the public domain (other

than through your unauthorized disclosure); or (b) is under the obligation to be disclosed pursuant to the applicable laws or regulations, or orders of the court or other government authorities. You agree not to share personal information about members and clinicals cases discussed on the Site or during live sessions without express consent, including but not limited to full names, addresses, phone numbers, email addresses, or any other medical, identifying, or private information. For avoidance of doubt, any Sensitive Health Information you may access or receive will be subject to absolute confidentiality whether or not it is marked as such.

4. Modifying or Terminating Services; Refunds.

(a) Modifications. We are constantly changing and improving our Services and this community. We may add or remove functions, features, or requirements, and we may suspend (to the extent allowed by applicable law) or stop part of our Services altogether. Accordingly, IHC may terminate your use of any Service for any reason. If your use of a paid Service is terminated, a refund may be available. We may not be able to deliver the Services to certain regions or countries for various reasons, including due to applicable export control requirements or internet access limitations and restrictions from governments. You can stop using our Services at any time, although we’ll be sorry to see you go.

We reserve the right to change these Terms or to impose new conditions on the use of the Services, from time to time, in which case we will post the revised Terms on the Site. By continuing to use the Site after we post any such changes, you accept the Terms, as modified. Please consult these terms of use regularly.

(b) Termination. We may cancel or terminate your right to use the Services or any part of the Services at any time without notice. In the event of cancellation or termination, you are no longer authorized to access the part of the Services affected by such cancellation or termination. You have the option to discontinue your participation in the program at any time. Should you decide to cancel your membership during the program period, you will inform IHC directly at customerservice@innerhealthcoalition.com. The rights and obligations of you and IHC set forth in these Terms, which by their nature survive, shall survive termination of your relationship with IHC.

(c) Refund Policy.

(1) Initial HCP Program. IHC does not issue refunds for the Initial HCP Program month-to-month payments. Your subscription will automatically renew each month unless you cancel it or unless IHC suspends or discontinues the service. If you decide to cancel your subscription, the cancellation will take effect at the end of the current billing cycle. You will retain access to the subscription services until the end of this period, and no refunds will be issued for this remaining time.

(2) HCP Alumni Program.

Upon completion of the initial HCP program, you may choose to join the IHC Alumni with either a monthly subscription or an annual subscription at a discounted rate.

· Monthly Subscriptions: IHC does not offer refunds for the month-to-month payments. Your subscription will automatically renew each month unless you cancel it, or unless

IHC suspends or discontinues the service. If you decide to cancel your subscription, the cancellation will take effect at the end of the current billing cycle. You will retain access to the subscription services until the end of this period.

· Annual Subscriptions: As the Annual Subscription Fee is discounted at the time of purchase, no refunds will be given unless required by local law as described below. You may cancel your subscription at any time, but please note that the remaining months of the subscription are non-refundable. You will continue to have access to the subscription services until the end of the initial one-year period.

Compliance with Local Laws:

IHC’s refund policies are subject to and will comply with applicable local consumer protection laws that may require adjustments to the refund policy under certain circumstances. If local regulations require a different handling of refunds, IHC will adapt its policy accordingly to remain compliant.

5. Governing Law and Venue. These Terms, the performance under these Terms, and all suits and proceedings under these Terms between you and IHC, shall be constructed in accordance with and governed, to the exclusion of the law of any other forum, including the U.N. Convention on Contracts for the International Sale of Goods, by the laws of the State of Washington, without regard to the jurisdiction in which any action or proceeding may be instituted. Venue for any legal or equitable action between you and IHC which relates to these Terms shall be in the Superior Court of Pierce County, Washington, or in the United States District Court, Western District of Washington. YOU IRREVOCABLY CONSENTS TO THE EXCLUSIVE AND SOLE JURISDICTION IN WASHINGTON AND VENUE IN THE UNITED STATES DISTRICT COURT, WESTERN DISTRICT OF WASHINGTON OR STATE COURT IN PIERCE COUNTY, WASHINGTON FOR SUCH PURPOSES AND WAIVES ANY AND ALL RIGHTS TO CONTEST SAID JURISDICTION AND VENUE AND ANY OBJECTION THAT WASHINGTON IS NOT CONVENIENT. THE PARTIES FURTHER AGREE, TO THE EXTENT PERMITTED BY APPLICABLE LAW, TO WAIVE ANY RIGHT TO TRIAL BY JURY WITH RESPECT TO ANY CLAIM, COUNTERCLAIM OR ACTION ARISING FROM THESE TERMS.

This Section shall not deprive you of any mandatory consumer protections under the law of the country to which we direct Services to you, where you have your habitual residence.

6. Dispute Resolution.

(a) Negotiations. You and IHC shall in good faith attempt to resolve, at the lowest possible level of authority, any controversy, claim, or dispute arising out of these Terms through negotiations. You agree that time is of the essence in the resolution of any disputes or disagreements arising under or related to these Terms.

(b) Injunctive Relief. Nothing in these Terms shall bar a party from seeking injunctive relief in emergent circumstances, including but not limited to the dissemination of its intellectual property or confidential information. You acknowledge that any breach of Section 3 of these Terms may cause irreparable injury, and there may be no adequate remedy

at law. Either party is therefore entitled to seek injunctive relief and such other further relief as may be appropriate.

7. Disclaimer. TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICES AND ALL INCLUDED CONTENT ARE PROVIDED ON AN “AS IS” BASIS WITHOUT WARRANTY OF ANY KIND, WHETHER EXPRESS OR IMPLIED. IHC, ITS AFFILIATES, CONTENT PROVIDERS AND INSTRUCTORS, ITS CONTRIBUTORS, SPONSORS, AND OTHER BUSINESS PARTNERS, AND THEIR EMPLOYEES, CONTRACTORS, AND OTHER AGENTS (THE “IHC PARTIES”) SPECIFICALLY DISCLAIM ANY AND ALL WARRANTIES AND CONDITIONS OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT, AND ANY WARRANTIES ARISING OUT OF COURSE OF DEALING OR USAGE OF TRADE. WE DO NOT WARRANT THAT THE SITE OR ANY OF ITS FUNCTIONS WILL BE UNINTERRUPTED OR ERROR FREE, THAT DEFECTS WILL BE CORRECTED, OR THAT ANY PART OF THIS SITE, INCLUDING BULLETIN BOARDS, OR THE SERVERS THAT MAKE IT AVAILABLE, ARE FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS. WE DO NOT WARRANT OR MAKE ANY REPRESENTATIONS REGARDING THE USE OR THE RESULTS OF THE USE OF THE SITE OR MATERIALS ON THIS SITE OR ON THIRD-PARTY SITES IN TERMS OF THEIR CORRECTNESS, ACCURACY, TIMELINESS, RELIABILITY OR OTHERWISE WITH REGARDS TO HEALTH & WELLNESS CONTENT ON THE SITE. YOU ACKNOWLEDGE AND AGREE THAT ANY ACCESS TO OR USE OF THE SERVICES OR SUCH CONTENT IS AT YOUR OWN RISK.

8. Limitation of Liability. YOU AGREE THAT, AS A SUBSCRIBER IMPLEMENTING IHC’S PRODUCTS, SERVICES, AND MEDITATIONS IN THE TREATMENT OF PATIENTS, YOU ASSUME FULL RESPONSIBILITY FOR ANY AND ALL RISKS ASSOCIATED WITH SUCH IMPLEMENTATION. THEREFORE, TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE IHC PARTIES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM: (A) YOUR ACCESS TO OR USE OF OR INABILITY TO ACCESS OR USE THE SERVICES, INCLUDING IMPLEMENTATION OF THE SERVICES, PRODUCTS, MEDITATIONS, OR OTHER CONTENT IN PATIENT TREATMENT; (B) ANY CONDUCT OR CONTENT OF ANY PARTY OTHER THAN THE APPLICABLE IHC PARTY, INCLUDING WITHOUT LIMITATION, ANY DEFAMATORY, OFFENSIVE, OR ILLEGAL CONDUCT; OR (C) UNAUTHORIZED ACCESS, USE, OR ALTERATION OF YOUR CONTENT OR INFORMATION. IN NO EVENT SHALL IHC’S AGGREGATE LIABILITY FOR ALL CLAIMS RELATED TO THE SERVICES EXCEED THE TOTAL AMOUNT OF FEES RECEIVED BY IHC FROM YOU FOR THE USE OF PAID SERVICES DURING THE PAST TWELVE (12) MONTHS.

WE EXIST FOR EDUCATIONAL PURPOSES ONLY, AND THE MATERIALS, CONTENT, AND INFORMATION CONTAINED HEREIN AND, IN OUR PRODUCTS, AND SERVICES ARE FOR GENERAL INFORMATIONAL PURPOSES ONLY. NONE OF THE INFORMATION PROVIDED BY US IS INTENDED AS MEDICAL ADVICE. OUR INFORMATION SHOULD NOT BE RELIED UPON FOR PURPOSES OF DIAGNOSING OR OTHERWISE DELIVERING MEDICAL ADVICE TO YOUR PATIENTS.

9. Indemnification. You agree to indemnify, defend, and hold harmless the IHC Parties from any and all claims, liabilities, expenses, and damages (to the extent attributable to you under the applicable law), including reasonable attorneys’ fees and costs, made by any third party related to: (a) your use or attempted use of the Services or Content in violation of these Terms; (b) your violation of any law or rights of any third party, including those associated with any Sensitive Health Information; (c) your use of community member content, including without limitation any claim of infringement or misappropriation of intellectual property or other proprietary rights; (d) any claims for personal injury, property damage, or other harm that may arise, directly or indirectly, from the use of IHC’s Services and Content in the treatment of patients.

10. Medical Research. You acknowledge that IHC is engaged in the study of biological and physiological effects of meditation on the human body and is committed to advancing the science of learning and teaching, and records of your participation and provided content and material (including, without limitation, comments, blog entries, Facebook postings, photos, and videos) to us via the community, Site, internet groups, social media venues, or to any of our staff via email, text, or otherwise may be used for education and medical research. Your personal identity will not be publicly disclosed in any research findings without your express consent.

11. No Medical Advice. You acknowledge and agree that the Services and Content provided within the IHC online community, including, but not limited to, any advice, recommendations, suggestions, or information shared by IHC, its representatives, or other community members, is for informational and educational purposes only and should not be construed as medical advice, diagnosis, or treatment. You understand that any reliance on such content is solely at your own risk. You agree to consult with a qualified healthcare professional before making any decisions or taking any actions relating to your health, wellbeing, or the health and wellbeing of your patients, based on the information, Services, and Content provided within the IHC online community.

12. Community Members Content. The Services and online community may include a variety of features, such as bulletin boards, web logs, chat rooms, and email services, which allow feedback to us and real-time interaction between community members, and other features which allow community members to communicate with others. Responsibility for what is posted on bulletin boards, web logs, chat rooms, and other public posting areas on the Site, or sent via any email services on the Site, lies with each community member – you alone are responsible for the material you post or send. We do not control the messages, information, or files that you or others may provide through the Site.

IHC may host message boards, chats, and other public forums in its community. Any community member failing to comply with these Terms may be expelled from and refused continued access to, the message boards, chats, or other public forums in the future. IHC or its designated agents may remove or alter any community member-created content at any time for any reason. Message boards, chats and other public forums are intended to serve as discussion centers for community members. Information and content posted within these forums may be provided by IHC or its outside contributors, or by community members not connected with IHC. IHC expressly disclaims all responsibility and endorsement and makes no representation as to the validity of any opinion, advice, information, or statement made or displayed in these forums by third parties, nor are we responsible for any errors or omissions in such postings, or

for hyperlinks embedded in any messages. Under no circumstances will we, our affiliates, suppliers, or agents be liable for any loss or damage caused by your reliance on information obtained through the online community forums. The opinions expressed in these the online community forums are solely the opinions of the participants, and do not reflect the opinions of IHC or any of its subsidiaries or affiliates.

IHC has no obligation whatsoever to monitor any of the content or postings on the message boards, chat rooms, or other public forums on the Sites. However, you acknowledge and agree that we have the absolute right to monitor the same at our sole discretion. In addition, we reserve the right to alter, edit, refuse to post, or remove any postings or content, in whole or in part, for any reason and to disclose such materials and the circumstances surrounding their transmission to any third party in order to satisfy any applicable law, regulation, legal process or governmental request and to protect ourselves, community members, and visitors. We want every single member to add value to the group. Our goal is to make your community the most valuable community you’re a member of. Therefore, we reserve the right to remove anyone at any time.

13. Community Guidelines. We are excited to have you join us and be part of our community. To maintain a safe, inclusive, and respectful environment for everyone, we have established the following community guidelines that all members must adhere to:

(a) Prohibited Use. You are prohibited from using our Services to: (i) post or transmit any unlawful, threatening, abusive, libelous, defamatory, obscene, vulgar, pornographic, profane, or indecent information of any kind, including without limitation any transmissions constituting or encouraging conduct that would constitute a criminal offense, give rise to civil liability, or otherwise violate any local, state, national, or international law; (ii) harasses others; we encourage commentary about people and matters of public interest, but abusive or otherwise inappropriate content directed at private individuals is not allowed; (iii) violate intellectual property, privacy, or other rights. Do not share content that you do not have the right to share, claim content that you did not create as your own, or otherwise infringe or misappropriate someone else’s intellectual property or other rights; (iv) advertise or solicit to anyone to buy or sell products or services, or to make donations of any kind, without our express written approval; or (v) otherwise violates these Terms.

You also are not allowed to: (i) do anything that violates local, state, national, or international law or breaches any of your contractual obligations or fiduciary duties or against the terms of service of the any platform used by IHC or the community; (ii) share your password, let anyone besides yourself access your account, or do anything that might put your account at risk; (iii) attempt to access any other community member’s account; (iv) reproduce, transfer, sell, resell, or otherwise misuse any Content from our Services, unless specifically authorized to do so; (v) impersonate or misrepresent your affiliation with any person or entity, including IHC or Dr. Joe Dispenza; (vi) gather for marketing purposes any email addresses or other personal information that has been posted by other community members of the Site; and (vii) teach any Content to groups of patients or colleagues or use any intellectual property in an unauthorized manner.

(b) Continuous Improvement. Be open to feedback and willing to learn from others. Our community is constantly evolving, and we encourage members to provide feedback and suggestions for improvement.

(c) Respect and Kindness. Treat all members with kindness, respect, and empathy. Be mindful of your language and tone, and refrain from engaging in personal attacks, harassment, discrimination, or any form of disrespectful behavior. Everyone has the right to express their opinions and ideas in a civil manner.

(d) Inclusive and Diverse. Embrace and celebrate diversity. Our community is inclusive of people from all backgrounds, cultures, religions, genders, sexual orientations, abilities, and identities. Avoid making derogatory or discriminatory comments based on race, nationality, religion, gender, sexual orientation, disability, or any other characteristic.

(e) Constructive and Relevant. Stay on topic and contribute to meaningful discussions. Keep your comments, posts, and interactions relevant to the purpose and goals of the community.

(f) Language and Terminology. Please use the official language of this group which is English. Since medical terminology varies across specialty and culture, please qualify any acronyms, abbreviations, and brand names used such as clinical descriptions (SOB – Shortness of Breath, FTT – Failure to Thrive) or medication names (Flagyl – Metronidazole).

(g) Safety and Security. Prioritize safety and security. Do not engage in any activities that may harm, compromise, or exploit the community, its members, or the platform itself. Report any suspicious or inappropriate behavior to the community moderators or administrators.

(h) Community Moderation. Respect the authority of the community moderators or administrators. They are responsible for enforcing these guidelines and maintaining the overall well-being of the community. If you have any concerns or questions, contact them in a respectful and constructive manner.

(i) Positive Contribution. Strive to make a positive contribution to the community. Share your knowledge, insights, and experiences in a constructive and meaningful way. Help others, be supportive, and foster a welcoming and inclusive environment.

Failure to adhere to these community guidelines or any other term in these Terms may result in warnings, or removal from the community. We reserve the right to modify or update these guidelines at any time to ensure the well-being of our community.
